1.1 If Event Orga\u00adni\u00adzer is a busi\u00adness, the\u00adse Gene\u00adral Terms and Con\u00addi\u00adti\u00adons (\u201cGTCs\u201d) shall app\u00adly exclu\u00adsi\u00adve\u00adly to all ser\u00advices pro\u00advi\u00added by AXICA Kon\u00adgress- und Tagungs\u00adzen\u00adtrum Pari\u00adser Platz 3 GmbH (\u201cSer\u00advice Pro\u00advi\u00adder\u201d) under this Agree\u00adment.
1.2 Any and all stan\u00addard busi\u00adness terms of Event Orga\u00adni\u00adzer that con\u00adflict with and\/or sup\u00adple\u00adment the\u00adse Gene\u00adral Terms and Con\u00addi\u00adti\u00adons are express\u00adly rejected.<\/p>\n\n\n\n
2.1 Unless express\u00adly noted other\u00adwi\u00adse, Ser\u00advice Provider\u2019s offers are dee\u00admed to con\u00adsti\u00adtu\u00adte invi\u00adta\u00adti\u00adons to Event Orga\u00adni\u00adzer to issue an offer regar\u00adding the exe\u00adcu\u00adti\u00adon of an event (invi\u00adta\u00adtio ad offe\u00adren\u00addum). Event Orga\u00adni\u00adzer is bound by its offer for a peri\u00adod of 14 days from the date of sen\u00adding. The con\u00adtract does not come into exis\u00adtence unless and until Ser\u00advice Pro\u00advi\u00adder accepts the offer in text form (e.g., in wri\u00adting, by e\u2011mail, or by fax).
2.2 Event Organizer\u2019s offers are not valid unless issued in text form. Unless express\u00adly agreed other\u00adwi\u00adse in the indi\u00advi\u00addu\u00adal case, side agree\u00adments, adden\u00adda, and\/or amend\u00adments to the offer must also be in text form.<\/p>\n\n\n\n
3.1 The Agree\u00adment shall con\u00adsist of various ele\u00adments at the opti\u00adon of Event Orga\u00adni\u00adzer:
3.1.1 If Event Orga\u00adni\u00adzer rents space in the buil\u00adding at Pari\u00adser Platz 3, 10117 Ber\u00adlin (the \u201cPro\u00adper\u00adty\u201d), the Agree\u00adment shall con\u00adtain ren\u00adtal law ele\u00adments.
3.1.2 If Event Orga\u00adni\u00adzer rents space out\u00adside the Pro\u00adper\u00adty, it shall con\u00adtain bro\u00adkera\u00adge law ele\u00adments.
3.1.3 If Ser\u00advice Pro\u00advi\u00adder pro\u00advi\u00addes Event Orga\u00adni\u00adzer with sound engi\u00adnee\u00adring, light\u00ading tech\u00adno\u00adlo\u00adgy and IT tech\u00adno\u00adlo\u00adgy, the Agree\u00adment shall con\u00adtain ren\u00adtal and ser\u00advice law ele\u00adments.
3.1.4 If Ser\u00advice Pro\u00advi\u00adder pro\u00advi\u00addes Event Orga\u00adni\u00adzer with food and bever\u00ada\u00adges (\u201ccate\u00adring\u201d), the Agree\u00adment shall con\u00adtain ser\u00advice law ele\u00adments.
3.2 Ser\u00advice Pro\u00advi\u00adder shall pro\u00advi\u00adde no ser\u00advices other than tho\u00adse iden\u00adti\u00adfied in Sub\u00adsec\u00adtion 3.1.
3.3 Event Orga\u00adni\u00adzer shall bear over\u00adall, respon\u00adsi\u00adbi\u00adli\u00adty for plan\u00adning and put\u00adting on the event. In par\u00adti\u00adcu\u00adlar, Event Orga\u00adni\u00adzer shall be respon\u00adsi\u00adble for the fol\u00adlo\u00adwing:
3.3.1 the safe\u00adty of the par\u00adti\u00adci\u00adpan\u00adts and the items they bring with them,
3.3.2 obser\u00advan\u00adce of the rights of third par\u00adties, par\u00adti\u00adcu\u00adlar\u00adly pho\u00adno\u00adgram rights and neigh\u00adbor\u00ading rights, during the event, inclu\u00adding obtai\u00adning the con\u00adsent of the royal\u00adty coll\u00adec\u00adting socie\u00adties that admi\u00adnis\u00adter the right to use any works, trans\u00admit\u00adting a list of the works used at the event and pay\u00ading com\u00adpen\u00adsa\u00adti\u00adon to the royal\u00adty coll\u00adec\u00adting socie\u00adties,
3.3.3 hiring third par\u00adties (such as spea\u00adk\u00aders and artists) and cla\u00adri\u00adfy\u00ading whe\u00adther they may pro\u00advi\u00adde their ser\u00advices at the event site, and
3.3.4 ensu\u00adring that the\u00adre is ade\u00adqua\u00adte event insu\u00adrance. Event insu\u00adrance is dee\u00admed ade\u00adqua\u00adte if it pro\u00advi\u00addes covera\u00adge in the amount of at least EUR 5 mil\u00adli\u00adon for per\u00adso\u00adnal inju\u00adry, at least EUR 5 mil\u00adli\u00adon for pro\u00adper\u00adty dama\u00adge and at least EUR 0.1 mil\u00adli\u00adon for pecu\u00adnia\u00adry los\u00adses incur\u00adred in con\u00adnec\u00adtion with the event and has mar\u00adket-based terms and con\u00addi\u00adti\u00adons.
3.4 If Ser\u00advice Pro\u00advi\u00adder is to pro\u00advi\u00adde cate\u00adring ser\u00advices, Event Orga\u00adni\u00adzer may not hire third par\u00adties for cate\u00adring or sup\u00adport staff for Ser\u00advice Provider\u2019s cate\u00adring ope\u00adra\u00adti\u00adon or bring food.
3.5 Event Orga\u00adni\u00adzer shall release Ser\u00advice Pro\u00advi\u00adder from the obli\u00adga\u00adti\u00adon to obtain the con\u00adsent of royal\u00adty coll\u00adec\u00adting com\u00adpa\u00adnies, to trans\u00admit a list in accordance with Sec. 42 (2) of the Royal\u00adty Coll\u00adec\u00adting Socie\u00adties Act (VGG) to the royal\u00adty coll\u00adec\u00adting socie\u00adty and to pay com\u00adpen\u00adsa\u00adti\u00adon to the lat\u00adter. Not\u00adwi\u00adth\u00adstan\u00adding Sen\u00adtence 1, Event Orga\u00adni\u00adzer shall sub\u00admit to Ser\u00advice Pro\u00advi\u00adder within one week of the end of the event a list in accordance with Sec. 42 (2) VGG and pro\u00adof that Event Orga\u00adni\u00adzer has sent the list to the royal\u00adty coll\u00adec\u00adting society.<\/p>\n\n\n\n
4.1 It is the respon\u00adsi\u00adbi\u00adli\u00adty of the Orga\u00adni\u00adzer to inspect the pro\u00adper\u00adty, the rooms out\u00adside the pro\u00adper\u00adty and the sound, light\u00ading and IT equip\u00adment for com\u00adple\u00adten\u00adess, func\u00adtion and dama\u00adge befo\u00adre the start of the event and to noti\u00adfy the Ser\u00advice Pro\u00advi\u00adder imme\u00addia\u00adte\u00adly of any incom\u00adple\u00adten\u00adess, defects and dama\u00adge (\u201caccep\u00adtance\u201d). The ser\u00advice pro\u00advi\u00adder\u2019s tech\u00adni\u00adcal part\u00adner may car\u00adry out the accep\u00adtance of the sound, light\u00ading and IT equip\u00adment on its behalf.
4.2 The orga\u00adni\u00adzer must check the accep\u00adtance report pre\u00adpared by the ser\u00advice pro\u00advi\u00adder wit\u00adhout delay, in any case befo\u00adre the start of the event, note any objec\u00adtions in it and sign the report. If the orga\u00adni\u00adzer fails to par\u00adti\u00adci\u00adpa\u00adte in the accep\u00adtance or fails to point out any incom\u00adple\u00adten\u00adess, defects or dama\u00adge, the accep\u00adtance shall be dee\u00admed to have taken place wit\u00adhout objec\u00adtion and the orga\u00adni\u00adzer may not deri\u00adve any rights or claims from the fail\u00adure to give noti\u00adce of defects.
4.3 The orga\u00adni\u00adzer\u2019s obli\u00adga\u00adti\u00adon to inspect and give noti\u00adce of defects and clau\u00adse 4.2 sen\u00adtence 2 shall app\u00adly accor\u00addin\u00adgly if a defect or dama\u00adge only occurs after acceptance.<\/p>\n\n\n\n
<\/p>\n\n\n\n
5.1 The sti\u00adpu\u00adla\u00adti\u00adons in the Agree\u00adment with respect to the event are bin\u00adding.
5.2 Any modi\u00adfi\u00adca\u00adti\u00adon of the ser\u00advices to be pro\u00advi\u00added by Ser\u00advice Pro\u00advi\u00adder shall requi\u00adre a writ\u00adten agree\u00adment (\u201cAdden\u00addum\u201d). The\u00adre is an excep\u00adti\u00adon for a chan\u00adge in the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts sta\u00adted in the Agree\u00adment by up to 3% (\u201cper\u00admis\u00adsi\u00adble chan\u00adge\u201d). A per\u00admis\u00adsi\u00adble chan\u00adge does not alter the agreed-upon pri\u00adces. Event Orga\u00adni\u00adzer has no right to con\u00adclude an Adden\u00addum.
5.3 If the chan\u00adge in the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts in an event on the Pro\u00adper\u00adty would result in over\u00adc\u00adrow\u00adding of the agreed-upon pre\u00admi\u00adses, Ser\u00advice Pro\u00advi\u00adder can con\u00addi\u00adti\u00adon its con\u00adsent to the chan\u00adge in the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts on Event Organizer\u2019s ren\u00adtal of lar\u00adger pre\u00admi\u00adses on the Property.<\/p>\n\n\n\n
6.1 The pri\u00adces agreed upon in the Agree\u00adment and the cost esti\u00adma\u00adte shall app\u00adly. If an Adden\u00addum or an addi\u00adtio\u00adnal cost esti\u00adma\u00adte is agreed upon, the pri\u00adces estab\u00adlished the\u00adr\u00adein shall app\u00adly if they dif\u00adfer from the pri\u00adces in the Agree\u00adment or in the cost esti\u00adma\u00adte atta\u00adched to the Agree\u00adment. If mul\u00adti\u00adple Adden\u00adda or cost esti\u00adma\u00adtes are agreed upon, Sen\u00adtence 2 shall app\u00adly with the pro\u00advi\u00adso that the last Adden\u00addum or cost esti\u00adma\u00adte shall pre\u00advail.
6.2 If the event starts more than 6 weeks after the Agree\u00adment has come into effect the Ser\u00advice Pro\u00advi\u00adder shall be entit\u00adled, at its reasonable dis\u00adcre\u00adti\u00adon, to increase the pri\u00adce for the affec\u00adted ser\u00advice com\u00adpon\u00adents if the Ser\u00advice Provider\u2019s prime cos\u00adts at the time the ser\u00advice is pro\u00advi\u00added have increased com\u00adpared to the time the Agree\u00adment came to effect and the ori\u00adgi\u00adnal pri\u00adce is shown sepa\u00adra\u00adte\u00adly in the cost esti\u00adma\u00adte. The right to adjust pri\u00adces shall be limi\u00adt\u00aded to the per\u00adcen\u00adta\u00adge of the increase in prime cos\u00adts and only exists if and to the ext\u00adent that the increased prime cos\u00adts are not off\u00adset by redu\u00adced prime cost in other ser\u00advice com\u00adpon\u00adents. The Ser\u00advice Pro\u00advi\u00adder must inform the Event Orga\u00adni\u00adzer imme\u00addia\u00adte\u00adly of such a chan\u00adge in the pro\u00adduc\u00adtion cos\u00adts so that the Event Orga\u00adni\u00adzer may chan\u00adge this ser\u00advice com\u00adpo\u00adnent if neces\u00adsa\u00adry. Con\u00adver\u00adse\u00adly, the Event Orga\u00adni\u00adzer has a right to a pri\u00adce reduc\u00adtion if the prime cos\u00adts of any ser\u00advice com\u00adpo\u00adnent are redu\u00adced, unless this reduc\u00adtion is off\u00adset by cost increa\u00adses else\u00adwhe\u00adre.
6.3 All pri\u00adces are exclu\u00adsi\u00adve of VAT. It is Event Organizer\u2019s respon\u00adsi\u00adbi\u00adli\u00adty to pro\u00adve that no value-added tax is owed for the event.
6.4 If the com\u00adpen\u00adsa\u00adti\u00adon for the cate\u00adring ser\u00advices uti\u00adli\u00adzed by Event Orga\u00adni\u00adzer in a par\u00adti\u00adcu\u00adlar day falls below the mini\u00admum sales reve\u00adnues for cate\u00adring agreed upon in the cost esti\u00adma\u00adte, Event Orga\u00adni\u00adzer shall pay the mini\u00admum sales reve\u00adnues for cate\u00adring for this day.
6.5 If Ser\u00advice Pro\u00advi\u00adder pro\u00advi\u00addes a ser\u00advice bey\u00adond the agreed-upon scope of the cost esti\u00adma\u00adte for Event Orga\u00adni\u00adzer (an \u201cAddi\u00adtio\u00adnal Ser\u00advice\u201d), Event Orga\u00adni\u00adzer shall pay the com\u00adpen\u00adsa\u00adti\u00adon set forth in the cost esti\u00adma\u00adte for the Addi\u00adtio\u00adnal Ser\u00advice.
6.6 Ser\u00advice Pro\u00advi\u00adder shall bill for the ser\u00advices it pro\u00advi\u00addes in con\u00adnec\u00adtion with the event. Event Orga\u00adni\u00adzer must rai\u00adse any objec\u00adtions it may have with respect to the invoice in text form within one week of invoice receipt. If Event Orga\u00adni\u00adzer rai\u00adses no objec\u00adtion within this time peri\u00adod, the invoice shall be dee\u00admed to have been accept\u00aded.
6.7 Event Orga\u00adni\u00adzer shall make non-cash pay\u00adment by trans\u00adfer\u00adring the amount to the Ser\u00advice Provider\u2019s bank account indi\u00adca\u00adted in the cost estimate.<\/p>\n\n\n\n
7.1 Event Orga\u00adni\u00adzer shall make an advan\u00adce pay\u00adment as secu\u00adri\u00adty for Ser\u00advice Provider\u2019s pay\u00adment claims.
7.2 If the amount and due date of the advan\u00adce pay\u00adment are not set forth in the Agree\u00adment, the advan\u00adce pay\u00adment shall be 50% of the total pri\u00adce sta\u00adted in the Agree\u00adment plus VAT and shall be due and paya\u00adble two weeks after the Agree\u00adment takes effect. If the Agree\u00adment pro\u00advi\u00addes for advan\u00adce pay\u00adments that do not cumu\u00adla\u00adtively add up to the total pri\u00adce plus VAT pro\u00advi\u00added for in the Agree\u00adment, Event Orga\u00adni\u00adzer shall pay the dif\u00adfe\u00adrence bet\u00adween the aggre\u00adga\u00adte of the advan\u00adce pay\u00adments and the total pri\u00adce plus VAT no later than one week befo\u00adre the start of the event.
7.3 Not\u00adwi\u00adth\u00adstan\u00adding Sub\u00adsec\u00adtion 7.2, the advan\u00adce pay\u00adment shall be 100% of the total pri\u00adce set forth in the Agree\u00adment plus VAT and shall be due and paya\u00adble imme\u00addia\u00adte\u00adly if the event beg\u00adins less than two months after the Agree\u00adment takes effect.<\/p>\n\n\n\n
Event Orga\u00adni\u00adzer is respon\u00adsi\u00adble for com\u00adpli\u00adance with the dead\u00adlines and due dates set forth in the Agree\u00adment as well as the addi\u00adtio\u00adnal ones set forth here:<\/p>\n\n\n\n
8.1 Befo\u00adre the day of the event
8.1.1 21 calen\u00addar days befo\u00adre the start of the event:
Sub\u00admis\u00adsi\u00adon of pro\u00adof of the purcha\u00adse of event insu\u00adrance in accordance with Sub\u00adsec\u00adtion 3.3.4 and pay\u00adment of the insu\u00adrance pre\u00admi\u00adum, list of the names and addres\u00adses of the Event Organizer\u2019s other ser\u00advice pro\u00advi\u00adders for the event, inclu\u00adding cont\u00adact data,
Orde\u00adring the sel\u00adec\u00adtion of food and bever\u00ada\u00adges, inclu\u00adding infor\u00adma\u00adti\u00adon on spe\u00adcial die\u00adta\u00adry requi\u00adre\u00adments (all\u00ader\u00adgies, halal, kos\u00adher, etc.),
orde\u00adring the tech\u00adni\u00adcal equip\u00adment for the event (AV & IT),
8.1.2 15 calen\u00addar days befo\u00adre the start of the event:
A detail\u00aded time\u00adta\u00adble for the event, inclu\u00adding assem\u00adbly and dis\u00admant\u00adling ser\u00advices, noti\u00adfi\u00adca\u00adti\u00adon of the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts if it dif\u00adfers from the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts indi\u00adca\u00adted in the Agree\u00adment,
orde\u00adring crew cate\u00adring,
8.1.3 10 calen\u00addar days befo\u00adre the start of the event:
Noti\u00adfi\u00adca\u00adti\u00adon of the title of the event if it dif\u00adfers from the title set forth in the Agree\u00adment, trans\u00admis\u00adsi\u00adon of the Event Organizer\u2019s logo for dis\u00adplay at the event site,
8.1.4 5 calen\u00addar days befo\u00adre the start of the event:
Trans\u00admis\u00adsi\u00adon of the first and last names of all par\u00adti\u00adci\u00adpan\u00adts and iden\u00adti\u00adfi\u00adca\u00adti\u00adon of VIP guests,
8.2 Inspec\u00adtion of the pre\u00admi\u00adses and crea\u00adti\u00adon of a han\u00addo\u00adver report on the first day of the event \u2013 30 minu\u00adtes befo\u00adre the pre\u00admi\u00adses are han\u00added over; Event Orga\u00adni\u00adzer shall prompt\u00adly report any dama\u00adge to the pre\u00admi\u00adses to Ser\u00advice Pro\u00advi\u00adder;
30 min. befo\u00adre the start of the event: Han\u00addo\u00adver of the pre\u00admi\u00adses to Event Orga\u00adni\u00adzer,
8.3 After the event
Within 30 min. after the end of the event: Return of the pre\u00admi\u00adses, rem\u00adoval of the trash gene\u00adra\u00adted by the event and crea\u00adti\u00adon of the return report.<\/p>\n\n\n\n
9.1 The Agree\u00adment may only be resc\u00adin\u00added for good cau\u00adse for which the per\u00adson of the Par\u00adty wan\u00adting to rescind the Agree\u00adment is not respon\u00adsi\u00adble.
9.2 Ser\u00advice Pro\u00advi\u00adder shall have good cau\u00adse, in par\u00adti\u00adcu\u00adlar, if Event Orga\u00adni\u00adzer
9.2.1 in vio\u00adla\u00adti\u00adon of Sec\u00adtion 6 fails to make the advan\u00adce pay\u00adment despi\u00adte a war\u00adning,
9.2.2 in vio\u00adla\u00adti\u00adon of Sec\u00adtion 4 seeks to make a sub\u00adstan\u00adti\u00adal chan\u00adge to the num\u00adber of par\u00adti\u00adci\u00adpan\u00adts or the ser\u00advices to be pro\u00advi\u00added by Ser\u00advice Pro\u00advi\u00adder less than one month befo\u00adre the start of the event
9.2.3 in vio\u00adla\u00adti\u00adon of Sub\u00adsec\u00adtion 3.3.4 fails to pro\u00adper\u00adly sub\u00adstan\u00adtia\u00adte the purcha\u00adse of event insu\u00adrance or the pay\u00adment of the insu\u00adrance pre\u00admi\u00adum
9.2.4 if the Event Orga\u00adni\u00adzer does not prompt\u00adly sub\u00admit its con\u00adfir\u00adma\u00adti\u00adon of the representative\u2019s aut\u00adho\u00adriza\u00adti\u00adon regar\u00adding a con\u00adtract con\u00adcluded by his aut\u00adho\u00adri\u00adzed repre\u00adsen\u00adta\u00adti\u00adve,
9.2.5 in vio\u00adla\u00adti\u00adon of Sec\u00adtion 10 trans\u00adfers or encum\u00adbers rights or claims ari\u00adsing from this Agree\u00adment
9.2.6 if Ser\u00advice Pro\u00advi\u00adder is under\u00adstan\u00add\u00ada\u00adb\u00adly con\u00adcer\u00adned that put\u00adting on the event will dama\u00adge its good repu\u00adta\u00adti\u00adon, or
9.2.7 if Ser\u00advice Pro\u00advi\u00adder is under\u00adstan\u00add\u00ada\u00adb\u00adly con\u00adcer\u00adned that human rights or basic rights will be vio\u00adla\u00adted in con\u00adnec\u00adtion with the event and Event Orga\u00adni\u00adzer fails to ful\u00adly allay the\u00adse con\u00adcerns.
9.3 Event Orga\u00adni\u00adzer shall not have good cau\u00adse if Ser\u00advice Pro\u00advi\u00adder rest\u00adricts pede\u00adstri\u00adan or vehi\u00adcu\u00adlar access to the Pro\u00adper\u00adty or the pathways within the Pro\u00adper\u00adty due to ano\u00adther event, which is being held at the same time as the event or imme\u00addia\u00adte\u00adly befo\u00adre or after the event. In par\u00adti\u00adcu\u00adlar, Event Orga\u00adni\u00adzer agrees to use the secon\u00adda\u00adry ent\u00adrance to the Pro\u00adper\u00adty (Beh\u00adren\u00adstras\u00adse 73, 10117 Ber\u00adlin).
9.4 Not\u00adwi\u00adth\u00adstan\u00adding Sub\u00adsec\u00adtion 8.1, Event Orga\u00adni\u00adzer can rescind the Agree\u00adment up to one month befo\u00adre the start of the event if Event Orga\u00adni\u00adzer agrees, upon rescis\u00adsi\u00adon, to pay Ser\u00advice Pro\u00advi\u00adder 100% of the rent for the pre\u00admi\u00adses, 80% of the pro\u00advi\u00adsio\u00adning cos\u00adts and 80% of the mini\u00admum sales reve\u00adnues for cate\u00adring (the \u201cRescis\u00adsi\u00adon Fee\u201d). After that date, Event Orga\u00adni\u00adzer can rescind the Agree\u00adment only if Event Orga\u00adni\u00adzer agrees, upon rescis\u00adsi\u00adon, to pay 100% each of the rent for the pre\u00admi\u00adses, of the pro\u00advi\u00adsio\u00adning cos\u00adts and of the mini\u00admum sales reve\u00adnues for cate\u00adring (\u201cAug\u00admen\u00adted Rescis\u00adsi\u00adon Fee\u201d). Event Organizer\u2019s rescis\u00adsi\u00adon under Sen\u00adten\u00adces 1 and 2 shall be valid only if Event Orga\u00adni\u00adzer pays the Rescis\u00adsi\u00adon Fee or the Aug\u00admen\u00adted Rescis\u00adsi\u00adon Fee within one week of sen\u00adding the noti\u00adce of rescis\u00adsi\u00adon to Ser\u00advice Pro\u00advi\u00adder.
9.5 Not\u00adwi\u00adth\u00adstan\u00adding Sub\u00adsec\u00adtion 9.1 and irre\u00adspec\u00adti\u00adve of Sub\u00adsec\u00adtion 9.4, Event Orga\u00adni\u00adzer can rescind the Agree\u00adment if the event can\u00adnot be held for extra\u00ador\u00addi\u00adna\u00adry reasons, which Event Orga\u00adni\u00adzer could not fore\u00adsee or avo\u00adid and for which Ser\u00advice Pro\u00advi\u00adder is not respon\u00adsi\u00adble. In this case, Event Orga\u00adni\u00adzer shall be obli\u00adged to pay com\u00adpen\u00adsa\u00adti\u00adon in the amount of the expen\u00addit\u00adures alre\u00ada\u00addy made by Ser\u00advice Pro\u00advi\u00adder plus 20% of the expen\u00addit\u00adures it must still make plus 50% of the agreed-upon rent. Alter\u00adna\u00adtively, Ser\u00advice Pro\u00advi\u00adder can demand lump-sum com\u00adpen\u00adsa\u00adti\u00adon of 50% of the most recent cost esti\u00adma\u00adte; in this case, Event Orga\u00adni\u00adzer shall be free to pro\u00adve that Ser\u00advice Pro\u00advi\u00adder is not entit\u00adled to any com\u00adpen\u00adsa\u00adti\u00adon or only to signi\u00adfi\u00adcant\u00adly less com\u00adpen\u00adsa\u00adti\u00adon.
9.6 Other\u00adwi\u00adse, i.e., irre\u00adspec\u00adti\u00adve of Sub\u00adsec\u00adtions 9.4 and 9.5, Event Orga\u00adni\u00adzer can only rescind the Agree\u00adment for good cau\u00adse. The Par\u00adties agree that good cau\u00adse jus\u00adti\u00adfy\u00ading a right of rescis\u00adsi\u00adon on the part of Event Orga\u00adni\u00adzer shall only exist if Event Orga\u00adni\u00adzer can\u00adnot be expec\u00adted to adhe\u00adre to the Agree\u00adment due to Ser\u00advice Provider\u2019s misconduct.<\/p>\n\n\n\n
10.1 Unless other\u00adwi\u00adse agreed below, Event Orga\u00adni\u00adzer shall have no claims for dama\u00adges against Ser\u00advice Pro\u00advi\u00adder, irre\u00adspec\u00adti\u00adve of the legal basis the\u00adr\u00ade\u00adfor, unless the\u00adse claims are based on
10.1.1 cul\u00adpa\u00adble loss of life, bodi\u00adly inju\u00adry, or impair\u00adment of health,
10.1.2 intent or gross negli\u00adgence, or
10.1.3 cul\u00adpa\u00adble vio\u00adla\u00adti\u00adon of a main\u00adten\u00adan\u00adce obli\u00adga\u00adti\u00adon incum\u00adbent upon Ser\u00advice Pro\u00advi\u00adder with regard to the event loca\u00adti\u00adon or of ano\u00adther obli\u00adga\u00adti\u00adon that ren\u00adders the pro\u00adper per\u00adfor\u00admance of the con\u00adtract pos\u00adsi\u00adble in the first place and on the ful\u00adfill\u00adment of which Event Orga\u00adni\u00adzer may the\u00adr\u00ade\u00adfo\u00adre rely (\u201ccar\u00addi\u00adnal obli\u00adga\u00adti\u00adon\u201d)
by Ser\u00advice Pro\u00advi\u00adder or by any of its legal repre\u00adsen\u00adta\u00adti\u00adves, employees, or vica\u00adrious agents.
10.2 In the case of claims for dama\u00adges in con\u00adnec\u00adtion with vio\u00adla\u00adti\u00adon of car\u00addi\u00adnal obli\u00adga\u00adti\u00adons that are not based on intent or gross negli\u00adgence on Ser\u00advice Provider\u2019s part or on the part of any of Ser\u00advice Provider\u2019s legal repre\u00adsen\u00adta\u00adti\u00adves, employees, or vica\u00adrious agents, Ser\u00advice Provider\u2019s lia\u00adbi\u00adli\u00adty is limi\u00adt\u00aded to the fore\u00adseeable amount of dama\u00adge or loss that is typi\u00adcal of the con\u00adtract.
10.3 Strict war\u00adran\u00adty lia\u00adbi\u00adli\u00adty pur\u00adsu\u00adant to Sec. 536a of the Ger\u00adman Civil Code [B\u00fcr\u00adger\u00adli\u00adches Gesetz\u00adbuch (BGB)] is ruled out.
10.4 To the ext\u00adent that Ser\u00advice Provider\u2019s lia\u00adbi\u00adli\u00adty is limi\u00adt\u00aded or excluded, the\u00adse rules shall also app\u00adly to per\u00adso\u00adnal lia\u00adbi\u00adli\u00adty of its legal repre\u00adsen\u00adta\u00adti\u00adves, its employees and vica\u00adrious agents.
10.5 Claims con\u00adcer\u00adning dama\u00adge to items brought onto the event loca\u00adti\u00adon by Event Orga\u00adni\u00adzer must be asser\u00adted in text form accor\u00adding to the grounds for the cla\u00adim within a limi\u00adta\u00adti\u00adon peri\u00adod of 14 days after the dama\u00adge occurs; Event Orga\u00adni\u00adzer can sub\u00admit the cal\u00adcu\u00adla\u00adti\u00adon of the amount of the dama\u00adge or loss after\u00adward, even after this time limit expi\u00adres.
10.6 Any and all claims asser\u00adted against Ser\u00advice Pro\u00advi\u00adder by Event Orga\u00adni\u00adzer shall lap\u00adse two years after such claims ari\u00adse, irre\u00adspec\u00adti\u00adve of when Event Orga\u00adni\u00adzer beca\u00adme awa\u00adre of their exis\u00adtence.
10.7 Event Orga\u00adni\u00adzer shall be lia\u00adble to Ser\u00advice Pro\u00advi\u00adder for any dama\u00adges that Event Orga\u00adni\u00adzer or a par\u00adti\u00adci\u00adpant in the event regis\u00adtered by Event Orga\u00adni\u00adzer cau\u00adses to the pre\u00admi\u00adses or to items sup\u00adpli\u00aded by Event Orga\u00adni\u00adzer. Dama\u00adge shall be dee\u00admed to have been cau\u00adsed by Event Orga\u00adni\u00adzer if the han\u00addo\u00adver report does not docu\u00adment the dama\u00adge, but the dama\u00adge is docu\u00admen\u00adted on the return report or is other\u00adwi\u00adse detec\u00adted. Event Orga\u00adni\u00adzer shall be free to pro\u00adve that it did not cau\u00adse the dama\u00adge.
10.8 If a par\u00adti\u00adci\u00adpant makes a cla\u00adim for dama\u00adges against Ser\u00advice Pro\u00advi\u00adder, Event Orga\u00adni\u00adzer shall ful\u00adly indem\u00adni\u00adfy Ser\u00advice Pro\u00advi\u00adder, its legal repre\u00adsen\u00adta\u00adti\u00adves, employees and vica\u00adrious agents (inclu\u00adding reasonable legal enforce\u00adment and legal defen\u00adse cos\u00adts, expen\u00adses, fees, taxes, etc. and reasonable advan\u00adce pay\u00adments) unless the Ser\u00advice Provider\u2019s lia\u00adbi\u00adli\u00adty was based on
10.8.1 cul\u00adpa\u00adble loss of life, bodi\u00adly inju\u00adry, or impair\u00adment of health,
10.8.2 intent or gross negli\u00adgence, or
10.8.3 breach of car\u00addi\u00adnal obli\u00adga\u00adti\u00adons (Sub\u00adsec\u00adtion 10.1.3).
10.9 If dama\u00adge claims made by par\u00adti\u00adci\u00adpan\u00adts are in any way based on a mere\u00adly slight\u00adly negli\u00adgent breach of car\u00addi\u00adnal obli\u00adga\u00adti\u00adons and exceed the fore\u00adseeable dama\u00adges typi\u00adcal of the con\u00adtract defi\u00adned in Sub\u00adsec\u00adtion 10.2, Event Organizer\u2019s indem\u00adni\u00adfi\u00adca\u00adti\u00adon obli\u00adga\u00adti\u00adon shall app\u00adly to the excess amount.<\/p>\n\n\n\n
A Par\u00adty may only trans\u00adfer rights or claims under this Agree\u00adment with the express writ\u00adten con\u00adsent of the other Par\u00adty. The same shall app\u00adly to any encum\u00adbrance of the\u00adse claims and rights, such as encum\u00adbrance with a lien.<\/p>\n\n\n\n

12.1 The Agree\u00adment shall be sub\u00adject to the laws of the Fede\u00adral Repu\u00adblic of Ger\u00adma\u00adny, exclu\u00adding the con\u00adflict-of-law rules of inter\u00adna\u00adtio\u00adnal pri\u00adva\u00adte law.
12.2 The Regio\u00adnal Court of Ber\u00adlin shall have exclu\u00adsi\u00adve juris\u00addic\u00adtion over all dis\u00adpu\u00adtes under this Agree\u00adment to the ext\u00adent permissible.<\/p>\n\n\n\n
If a pro\u00advi\u00adsi\u00adon of the\u00adse GTCs is or beco\u00admes inva\u00adlid or unen\u00adforceable (\u201cfla\u00adwed pro\u00advi\u00adsi\u00adon\u201d), this shall not affect the vali\u00addi\u00adty of the remai\u00adning pro\u00advi\u00adsi\u00adons.
